1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

• "Agreement" means these Terms and Conditions together with any service order, proposal, or other document expressly incorporated by reference.
• "Client" or "You" means the individual or business entity that engages Lexigon for services or accesses the website.
• "Content" means all templates, documents, operating manuals, policy packs, workshop recordings, and other materials made available through our services.
• "Lexigon" or "We" means Lexigon Pte. Ltd., a company registered in Singapore (1 Raffles Place, #38-02, Singapore 048616).
• "Service" means the Template Library Subscription, Document Workflow Setup Engagement, Document Operations Annual Programme, or any other service provided by Lexigon.
• "Workspace" means the shared access environment made available to Client seat holders under a subscription or programme.

2. Acceptance of Terms

By accessing our website, subscribing to a service, or engaging Lexigon for a consulting engagement, you confirm that:

• You are at least 18 years of age, or are acting on behalf of a business entity with authority to bind it.
• You have the legal capacity to enter into this Agreement.
• The information you provide to us is accurate and complete.

3. Service Description

Lexigon provides the following services, each subject to separate pricing and scope details confirmed at the point of engagement:

Services are available to clients based in Singapore and, subject to assessment, internationally. Lexigon reserves the right to decline any engagement at its discretion.

4. Accounts & Workspace Access

• Subscription access is limited to the number of named seats specified in your plan (up to five under the standard subscription).
• You are responsible for maintaining the confidentiality of workspace access credentials and for all activity that occurs under your account.
• You must notify us promptly at [email protected] if you believe your workspace access has been compromised.
• Access is granted to you personally or to your organisation and may not be shared with third parties outside your organisation.

5. User Responsibilities & Acceptable Use

When using our services or accessing our Content, you agree to:

• Use the Content for your own internal business purposes only.
• Not reproduce, redistribute, resell, or sublicense any Content to third parties outside your organisation.
• Not represent Lexigon Content as your own original work when making it commercially available.
• Not use the website or services in a manner that is unlawful, harmful, or that violates any third-party rights.
• Not attempt to gain unauthorised access to our systems or another client's workspace.

You remain solely responsible for the way you adapt, use, and rely upon any template or document obtained through our services. Nothing in our Content constitutes legal, financial, or professional advice specific to your circumstances.

6. Intellectual Property

All Content and materials made available by Lexigon, including templates, operating manuals, policy packs, and workshop recordings, remain the intellectual property of Lexigon Pte. Ltd.

Subject to payment and continued compliance with this Agreement, we grant you a non-exclusive, non-transferable, revocable licence to access, download, and adapt the Content for your own internal business use during your subscription or engagement period.

This licence does not permit you to: (a) redistribute Content commercially; (b) share access credentials with parties outside your organisation; or (c) remove any Lexigon proprietary notices from downloaded files.

7. Payment Terms

• All prices are in Singapore Dollars (SGD) and inclusive of any applicable taxes unless stated otherwise.
• Annual subscriptions are payable in advance. Consulting engagements are payable per the schedule agreed at project commencement.
• Invoices not settled within 30 days of issue may result in suspension of workspace access.
• Refunds: Annual subscription fees are refundable on a pro-rata basis within 14 days of initial purchase if no Content has been downloaded. After 14 days or where Content has been accessed, fees are non-refundable. Consulting engagement fees are non-refundable once work has commenced, except where Lexigon is unable to deliver the agreed scope.
• Lexigon reserves the right to adjust pricing at renewal. Clients will be notified at least 30 days before any price change takes effect.

8. Service-Specific Terms

8.1 Subscription

Subscriptions renew automatically on the anniversary of purchase unless cancelled in writing at least 14 days prior to renewal. Content refreshes are made on a best-efforts basis each quarter; specific templates are not contractually committed.

8.2 Workflow Setup Engagement

Project scope, timeline, and deliverables are agreed in writing at project commencement. Changes to scope requested after work has begun may result in additional fees, which will be agreed before work proceeds. The client is responsible for providing timely access to relevant internal information and personnel during the engagement.

8.3 Annual Programme

Check-in and review sessions are scheduled by mutual agreement. Unused sessions do not carry over. The named advisor may change with reasonable notice if the assigned individual is unavailable for an extended period.

9. Disclaimers

Our services are provided for operational and informational purposes only. Lexigon is not a law firm and does not provide legal advice. Our Content is written in plain language to assist operational teams and is not a substitute for advice from a qualified professional in any jurisdiction.

You are solely responsible for determining whether any template or document is appropriate for your specific circumstances, and for obtaining professional advice where required.

Our services are provided "as is" and "as available". We make no representations that the website will be uninterrupted, error-free, or free from security vulnerabilities.

10. Limitation of Liability

To the fullest extent permitted by Singapore law, Lexigon's total aggregate liability to you for any claim arising out of or in connection with this Agreement shall not exceed the total fees paid by you in the twelve months preceding the claim.

Lexigon shall not be liable for any indirect, consequential, special, or incidental losses including loss of profit, loss of business, or loss of data, even if we have been advised of the possibility of such losses.

Nothing in this Agreement limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Lexigon, its directors, and employees from and against any claims, losses, costs, or damages arising from: (a) your breach of this Agreement; (b) your misuse of our Content or services; or (c) any claim by a third party arising from the way you have adapted or used Content obtained through our services.

12. Termination

By you: You may cancel a subscription at any time with effect from the next renewal date by providing written notice to [email protected]. Consulting engagements may be terminated with 14 days' written notice; fees for work already completed are not refundable.

By Lexigon: We may suspend or terminate your access immediately if you breach a material term of this Agreement, fail to pay fees when due, or if we have reasonable grounds to believe continued access poses a risk to our systems or other clients.

Sections 5, 6, 9, 10, 11, and 13 survive termination of this Agreement.

13. Dispute Resolution

This Agreement is governed by the laws of Singapore. If a dispute arises, the parties agree to first attempt resolution through good-faith discussions for a period of 30 days.

If the dispute is not resolved through negotiation, either party may refer the matter to the Singapore Mediation Centre before commencing any court proceedings. The courts of Singapore shall have exclusive jurisdiction over any dispute that cannot be resolved by mediation.

14. General Provisions

• Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior discussions.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
• Assignment: You may not assign this Agreement without our prior written consent. Lexigon may assign this Agreement to a successor business entity.
• Notices: Formal notices under this Agreement should be sent to [email protected] or by post to our registered address.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to active clients by email at least 30 days before taking effect. The updated Terms will be published on this page with a revised effective date. Your continued use of our services after that date constitutes acceptance of the revised Terms.
